海云星 服务协议

海云星（由深圳市泛指科技有限公司运营，以下称"我们"）为商业用户提供各种跨境电商平台软件和接口的使用服务，包括产品刊登、订单处理、 采购管理、供货商管理和仓储管理和数据报告等网络应用服务。本《海云星 服务协议》（下称"本协议"）规定了服务的可接受使用方式。您需遵守 本协议作为使用 海云星 网络服务的条件，并完全对其访问、公布、发布或以其它方式利用 海云星 网络服务的内容、接口协议和服务负责。

A. 一般条款

我们为商业用户提供跨境电商平台软件和接口的使用服务。为维护服务质量和保护用户隐私，客户须遵守本协议方可使用服务。客户须对其通过 平台访问、公布、发布或以其它方式利用的内容、接口和服务完全负责。

B. 生成式人工智能服务

平台提供商品标题、文案智能优化生成等服务。相关服务遵循以下规则：

• 您输入的内容仅用于该 AI 服务本身；
• 若输入内容涉及他人个人信息，您需确保已取得相应授权；
• 我们将采取技术手段或人工手段对您输入内容进行审查，但该审查不视为对您使用该项服务及输入内容的合法性、合规性、真实性进行担保；
• 您需自行核查输出内容的准确性，并在对外使用时清晰标识该内容为 AI 生成；
• 我们不保证输出内容的准确性，您应自行承担因使用 AI 生成内容而产生的相应责任。

C. 禁止的活动

任何客户或其他服务使用者通过某项服务的实行或参与下列所述任何活动都违背了 海云星 的政策（不论这些活动是实际或企图进行的，无论是 直接还是间接的）。

以下所列出的任何行为（每个行为，称"禁止的活动"）均构成对 海云星 网络服务的滥用和对其他客户的干扰。这些行为是严禁的：

1. 广告、传送或以其他方式获取违反本协议的任何软件、程序、产品或服务，包括但不限于从事或促进用来发送未经许可的商业资讯或任何形式 的通信或未经许可的大宗邮件（"SPAM"）的工具，运行 Ping 命令、洪水袭击以及拒绝服务攻击等；
2. 伪造用户或其他服务工具，这些服务是提供给 海云星 或其他服务用户或用于从事在于保留或掩盖客户或终端用户身份或联系任何活动或行为， 包括但不限于故意泄露、删除、仿造或误传重要信息，例如：客户经营信息、订单信息、产品信息、运营数据等；
3. 从事任何其他活动，该活动：
   • 违反法律或法规，包括但不限泄露用户数据、侵犯用户隐私、贩卖重要商业数据、色情相关产品、盗用版权、仿牌仿品、注册商标、 专利、商业秘密或其他知识产权；
   • 违反相关许可协议下 海云星 的独有权；
   • 威胁任何网络或电脑系统的完整性或安全，包括但不限于传播病毒、特洛伊木马、蠕虫病毒、邮件炸弹、按键记录、间谍软件、 广告软件或任何有害的程序或设计于负面影响电脑软件或硬件操作的类似电脑代码；
   • 目的在于以任何方式危害或试图危害未成年人；
   • 试图以一种逃避税费或其他要求就使用而缴费的方式使用服务；
   • 以其他方式降低或干扰其他用户使用某项服务；
   • 违反应向第三方承担的任何法定义务，如契约义务或应尽的义务；
   • 违反国际网络或其他网络行为和使用的通常公认标准，包括但不限于修改网页、网络扫描以及未授权的系统渗透。
4. 通过利用其他提供者的服务从事任何上述活动，但通过某个 海云星 账户、邮件代理或其他方式通过某项服务引导活动的除外。任何客户或客户 的最终用户或代表任何客户或客户的最终用户间接地违反本协议或违反本协议未遂的，以及任何第三方代表任何客户或客户的终端用户实际 违反本协议或违反本协议未遂的，都将视为该客户或客户的最终用户违反本协议。
5. 严禁转售/出售或桥接 海云星 账户权益。如客户或其他服务使用者转售/出售或桥接 海云星 账户，平台一经发现将立即对其服务进行下线处理， 并有权追究其经济赔偿责任及法律责任。

D. 权利和补救措施

如果 海云星 认定任何客户、其代表或最终用户已违反或未遵守本协议或从事（或允许他人从事）任何禁止的活动，则 海云星 可采取其认为适宜的 措施。这可以包括以下全部或任何内容：

1. 随时暂停和/或终止该客户的服务；
2. 向该客户进行警告；
3. 向该客户进行法律程序，在要求赔偿的基础上要求赔偿因违反本协议而产生的所有费用（包括但不限于合理的行政管理费用和法律费用）；
4. 出于保护客户的系统和网络资源的目的，拒绝来自那些支援违法活动的已知 IP 位置区的所有通信；
5. 对客户采取进一步法律行动；并且
6. 如果是非法行为，调查并通知相关司法部门。

如果 海云星 收到法院指令，要求其向某人揭露客户的身份，而该人控诉该客户滥用服务，则 海云星 有权这样做。如果法律要求 海云星 向警方或 其他公职机关揭露客户的身份或 海云星 拥有的关于服务使用的其他资料，则 海云星 也有权揭露。

海云星 将根据各人的价值，考虑所有情况和投诉。海云星 有权不向客户采取行动，即使投诉是针对客户违反本协议而提出的。

如可行及法律允许的话，海云星 保留采取技术手段来避免发生所禁止活动的权力。而且，海云星 保留向客户收取其进行禁止活动有关的行政管理 费用的权力，包括但不限于支付确认违约者及拆除或中断其服务的过程中产生的费用，收取的金额相当于 海云星 防止或回应该活动实际产生的 费用。

本协议中没有任何内容可以限制 海云星 对于任何被禁止活动的法律权力和补救措施。

本协议不影响适用于国际网络服务的条款与条件，这些国际网络服务由 海云星 于其网络范围内提供。

E. 密码保护

客户负责保护其个人的密码，并且对于任何授权的或未授权的使用其密码负责。没有书面的授权，客户不得透露其密码或使用或允许任何人 使用 海云星 服务来推测密码或进入其他系统或网络。如果某个网络或网络设备受到危害，海云星 完全有权自行决定协助进行追查并且/或在网络 层面以 海云星 认为合理的程序逐出该违约者。

F. 本协议的执行性及修改

如果本协议的任何条款或其任何部分出于任何原因被宣布无效，则有抵触的词句应视为已被删除，而其他条款应继续保持完全有效。

海云星 保留随时更新本协议而无需通知的权力，更新自公布在网站 https://hyxer.yjchuhai.com 上起生效。

G. 适用法律和管辖权

本协议受中华人民共和国法律的管辖，双方完全服从中华人民共和国法庭的管辖。

海云星 Terms of Service

海云星 (operated by Shenzhen Fanzhi Technology Co., Ltd., referred to as "we" or "us") provides business users with the use of various cross-border e-commerce platform software and interfaces, including product listing, order processing, procurement management, supplier management, warehouse management, and data reporting services. This 海云星 Terms of Service (the "Terms") sets out the acceptable use of the service. You must comply with these Terms as a condition of using 海云星's network services, and you are fully responsible for any content, interface protocols, and services you access, publish, post, or otherwise use through 海云星's network services.

A. General

We provide business users with the use of cross-border e-commerce platform software and interfaces. To maintain service quality and protect user privacy, customers must comply with these Terms as a condition of using the service. Customers are fully responsible for any content, interfaces, and services they access, publish, post, or otherwise use through the platform.

B. Generative AI services

The platform offers services such as AI-assisted optimization and generation of product titles and copy. These services are subject to the following rules:

• Content you input is used solely for that AI service;
• If the input content involves another person's personal information, you must ensure you have obtained the appropriate authorization;
• We use technical or manual means to review your input content, but such review does not constitute a warranty as to the legality, compliance, or accuracy of your use of the service or the content you input;
• You must verify the accuracy of the output yourself and clearly label it as AI-generated when using it externally;
• We do not guarantee the accuracy of the output, and you assume the corresponding responsibility for using AI-generated content.

C. Prohibited activities

Any customer or other user of the service who engages in, or attempts to engage in, any of the activities described below — directly or indirectly — violates 海云星's policies.

Each of the following actions (each, a "Prohibited Activity") constitutes abuse of 海云星's network services and interference with other customers. These actions are strictly prohibited:

1. Advertising, transmitting, or otherwise procuring any software, program, product, or service that violates these Terms, including but not limited to tools used to send unsolicited commercial messages or communications of any kind, or unsolicited bulk email ("spam"), running ping commands, flooding, or denial-of-service attacks;
2. Impersonating a user or another service tool provided to 海云星 or other service users, or engaging in activity intended to conceal or disguise the identity of a customer or end user, including but not limited to intentionally leaking, deleting, forging, or misrepresenting important information such as a customer's business information, order information, product information, or operational data;
3. Engaging in any other activity that:
   • Violates laws or regulations, including but not limited to disclosing user data, infringing user privacy, trading important business data, dealing in pornographic products, copyright infringement, counterfeiting, or infringing trademarks, patents, trade secrets, or other intellectual property;
   • Violates 海云星's exclusive rights under the applicable license agreement;
   • Threatens the integrity or security of any network or computer system, including but not limited to distributing viruses, Trojan horses, worms, mail bombs, keyloggers, spyware, adware, or any other harmful program or code designed to adversely affect computer software or hardware operation;
   • Is intended to harm or attempt to harm minors in any way;
   • Attempts to use the service in a manner that evades taxes, fees, or other charges applicable to its use;
   • Otherwise degrades or interferes with other users' use of the service;
   • Violates any statutory obligation owed to a third party, such as a contractual or other obligation;
   • Violates generally accepted standards of internet or other network conduct and use, including but not limited to modifying web pages, network scanning, or unauthorized system penetration.
4. Engaging in any of the above activities by making use of another provider's service, except where the activity is directed through 海云星's own service via a 海云星 account, mail agent, or other means. Any indirect violation, or attempted violation, of these Terms by a customer or its end user, or by any third party acting on behalf of a customer or its end user, will be deemed a violation of these Terms by that customer or its end user.
5. Reselling, selling, or bridging 海云星 account entitlements is strictly prohibited. If a customer or other service user resells, sells, or bridges a 海云星 account, the platform will immediately suspend the related service upon discovery and reserves the right to pursue financial compensation and legal liability.

D. Rights and remedies

If 海云星 determines that any customer, its representative, or an end user has violated or failed to comply with these Terms, or has engaged in (or allowed others to engage in) any Prohibited Activity, 海云星 may take any action it deems appropriate, including any or all of the following:

1. Suspending and/or terminating the customer's service at any time;
2. Issuing a warning to the customer;
3. Pursuing legal proceedings against the customer to recover all costs (including but not limited to reasonable administrative and legal costs) arising from the breach of these Terms;
4. Refusing all communications from known IP ranges that support unlawful activity, in order to protect the customer's systems and network resources;
5. Taking further legal action against the customer; and
6. Investigating and notifying the relevant judicial authorities in the case of unlawful conduct.

If 海云星 receives a court order requiring it to disclose a customer's identity to a person alleging abuse of the service by that customer, 海云星 is entitled to do so. If the law requires 海云星 to disclose a customer's identity, or other information 海云星 holds about the use of the service, to police or other public authorities, 海云星 is also entitled to do so.

海云星 will consider all circumstances and complaints on their merits. 海云星 reserves the right not to take action against a customer even where a complaint alleges a breach of these Terms.

Where feasible and permitted by law, 海云星 reserves the right to use technical means to prevent Prohibited Activities from occurring. 海云星 also reserves the right to charge customers administrative fees related to Prohibited Activities, including but not limited to costs incurred in confirming the violation and suspending or interrupting service, in an amount corresponding to the actual costs 海云星 incurs in preventing or responding to the activity.

Nothing in these Terms limits 海云星's legal rights and remedies with respect to any Prohibited Activity.

These Terms do not affect the terms and conditions applicable to international network services that 海云星 provides within its network.

E. Password protection

Customers are responsible for protecting their own password and for any authorized or unauthorized use of it. Without written authorization, a customer must not disclose their password, or use or allow anyone to use 海云星's service to guess passwords or gain access to other systems or networks. If a network or network device is compromised, 海云星 is entitled, at its sole discretion, to assist in the investigation and/or, at the network level, to remove the offending party using procedures 海云星 considers reasonable.

F. Enforceability and modification of these Terms

If any provision of these Terms, or any part thereof, is declared invalid for any reason, the conflicting wording will be deemed deleted, and the remaining provisions will continue in full force and effect.

海云星 reserves the right to update these Terms at any time without notice, effective from the time the update is published on https://hyxer.yjchuhai.com.

G. Governing law and jurisdiction

These Terms are governed by the laws of the People's Republic of China, and both parties submit fully to the jurisdiction of the courts of the People's Republic of China.
